Die hieraus entstan denen Vorschlage zur Modifizierung der Konzernverfassung reichen von einer partiellen Obertragung einzelner Befugnisse der Hauptversammlung des Toch terunternehmens auf die Aktionare des Mutterunternehmens bis hin zu einem generellen Verbot des Erwerbs von Mehrheitsbeteiligungen durch Kapitalgesell schaften und damit der Abschaffung des Konzerns. Die meisten Reformbestre bungen zum Aktionarsschutz im Konzern konzentrieren sich jedoch auf eine Zu stimmungsbedurftigkeit der Hauptversammlung des Mutterunternehmens bei der Konzernbildung, -erweiterung und -aufI6sung, auf die Ausdehnung der Ge winnverwendungsrechte der Aktionare eines Mutterunternehmens auf die aus gewiesenen Gewinne aller Konzernunternehmen sowie auf ihre Beteiligung an samtlichen externen EigenkapitalbeschaffungsmaBnahmen im Unternehmens verbund. Einzelne Reformvorschlage haben bereits in der Rechtsprechung und auch beim Gesetzgeber ersten Anklang gefunden. Obwohl uber 75 % der deutschen Aktiengesellschaften als Mutter- oder Toch terunternehmen in Konzernen eingebunden sind und dam it von einer erhebli chen praktischen Relevanz dieser Diskussion auszugehen ist, wird in der 6ko nomischen Literatur die Notwendigkeit von gesetzlichen Regulierungen zum Ak tionarsschutz im Konzern bisher nur ansatzweise er6rtert. Abgesehen vom Kon zernrechnungswesen wird der Konzern in vielen Teildisziplinen der Betriebswirt schaftslehre als Erkenntnisobjekt noch vernachlassigt."
